Athifah Alatas
Athifah Alatas, fondly known as Ifa, is a seasoned corporate lawyer with over two decades of experience. Throughout her career, she has represented a wide range of clients in commercial transactions and complex legal disputes across commercial law, civil litigation, and industrial relations. Her extensive experience has shaped a sharp legal perspective and strategic approach in delivering relevant and effective legal solutions.
Ifa has a strong track record in corporate transactions, including conducting due diligence for acquisitions and advising various companies under retainer arrangements.
Before joining ADCO Law, Ifa served as Legal & Corporate Secretary at several startups in the education and agribusiness sectors. In these roles, she was actively involved in contract negotiations, licensing processes, and investment management.
She holds a Bachelor of Laws degree from Universitas Trisakti and a Master of Business Law from Curtin University. Ifa is also an active member of the Indonesian Advocates Association (PERADI).

Practice Description
During her years of practice, Athifah has been involved in numerous deals and transactions including :
- Assisted one of the leading toll road companies in conducting legal due diligence on the Company, including its subsidiaries, in relation to the proposed public offering of bonds.
- Conducted legal due diligence on one of the coal logistics companies in relation to the proposed extension of a loan facility.
- Assisted one of the leading mining and energy companies in connection with various mining cooperation agreements, including those entered into with PT PLN (Persero).
- Assisted of lifestyle mall and property company in the preparation and review of various cooperation agreements, including Operations and Maintenance Agreements, Lease Agreements, and ancillary documents such as Tenant Warning Letters, Notices of Hand-Over of Premises, Letter of Intent for Short Term Lease, and Store Sealing Notices.
- Assisted a Korean lifestyle retail company in reviewing commercial agreements and issuing legal memorandum in accordance with the company's operational and compliance needs.
- Assisted the leading flag carrier of Indonesia in matters concerning employment, including providing legal memorandum as requested by the client, advisory and representation services in connection with Industrial Relations Disputes, encompassing the preparation of demand letters and responses, filing of dispute registration applications, participation in mediation proceedings, and representation in the Industrial Court.
- Assisted one of the leading mining and energy companies in conducting legal due diligence on material agreements of its refinancing process, to assess contractual risks, obligations, and potential liabilities relevant to the proposed transaction.
- Assisted the leading provider of proprietary and patented reservoir companies, including the establishment of a joint venture company in Indonesia, preparing and reviewing shareholders' agreement, sale and purchase of shares agreement, loan agreement, assignment of dividend, pledge of shares agreement, and call option agreement.
- Advised a leading dredging company on a construction agreement-related reclamation project.
- Provide legal assistance to one of the leading F&B retail companies in the preparation and review of various cooperation agreements, including store lease agreements, supply agreements, franchise agreements, and employment agreements. Assistance is also provided in issuing legal opinions as needed to support the company’s operations and ensure compliance with applicable laws and regulations.
- Assisted an Indonesian web hosting company in connection with its seed round fundraising process, including the preparation and review of term sheets, investment agreements, and other related transaction documents such as circular resolution of shareholders, shareholders' agreement, and share subscription agreement.
