General Corporate
We advise clients on various legal issues and developments affecting our clients’ business and operations, from general corporate matters, business affairs, compliance and governance, and legal commercial arrangements. This service includes drafting, reviewing and negotiating commercial contracts for daily business courses.
Mergers & Acquisitions
We advise clients in building a “transaction road map” including the timeframe by providing a comprehensive identification of legal issues before entering into deals and transactions. Our assistance includes negotiating and drafting contracts.
Legal Due Diligence
In connection with Mergers and Acquisitions, we conduct legal due diligence to support clients with a clear perspective on the upcoming transaction. This involves a comprehensive examination of the target company’s business objectives, corporate documentation, business operation licenses/permits, material contracts and historical disputes as well as elaboration on potential legal challenges that may affect the success of the upcoming transaction.
Investment and Corporate Financing
We advise clients on Indonesian policies, laws and regulations concerning inbound and outbound investmenta, strategic partnerships, and structuring investment vehicles.
Establishment of Business Entity
We assist clients in the establishment of business entities in Indonesia, such as limited liability companies or PT, representative offices, and joint ventures, including preparing supporting documents relating to the establishment, and/or operation of business entities.
Our Experience
- Represented a foreign investment company in conducting legal due diligence over a holding company with 6 IUP concessions in Central Kalimantan;
- Assisted a subsidiary of a Kuala Lumpur-based Malaysian public company involved in oil and gas, manufacturing engineering, property, aviation, defense, and rail construction, in acquiring interest in several aging wells in East Java;
- Assisted a leading coal mining contracting services company in a proposed acquisition of a CCoW company in East Kalimantan;
- Advised a general trading company (exports of heavy industrial products) in general corporate matters and investment schemes in the Indonesian coal business;
- Represented a smelter company in Indonesia in the termination of hundreds of its employees due to the partial closing down of the company;
- Assisted a respected Malaysian investment holding company through its subsidiary in Singapore in order to acquire and develop mini-hydro power plant projects in Indonesia, specifically for the 9 MW power plant in West Sumatera and 12 MW power plant in West Java;
- Assisted a Chinese group of companies in acquiring manganese and iron ores mining companies in Aceh;
- Assisted Indonesia’s biggest mining services company in its green energy projects, which consist of exploring the development of carbon economic value, as well as acquiring companies conducting business in carbon offsetting;
- Assisted a private equity company based in Singapore with funds sourced from the Middle East Asia in coal and nickel trading activity in Kalimantan and Sumatra;
- Retainer lawyer of a subsidiary of a state-owned company conducting business in airport operations with respect to general legal matters relating to the establishment of its business activities;
