Acquisition of interest in an IPP company pre-COD

ADCO Law handled an acquisition of an IPP Project company (2 x 150) MW. The acquisition deal was sealed between principals before the Commercial Operation Date under the PPA, where it was mandatory to seek the power purchaser’s approval, but we managed to formulate a structure to close and complete the acquisition before COD without triggering any requirements to obtain approval from the power purchaser.
